TERMS AND CONDITIONS OF SERVICE

OWNERSHIP, COPYRIGHT AND TRADEMARK

Unbound Grace Ministries (“UGM”) is a non-profit organization. All digital platforms, code, materials, videos and other information made available by UGM, are protected by trademark and copyright laws and must be used for personal, non-commercial purposes. The reproduction, reproduction, duplication, distribution (including by way of email, facsimile or other electronic means), publication, modification, copying, or transmission of material from UGM is STRICTLY PROHIBITED unless you have obtained the prior written consent of UGM. The material covered by this prohibition includes, without limitation, any text, graphics, logos, photographs, audio, or video material or stills from audiovisual material available on UGM. The use of materials from UGM on any other Web network or networked computer environment associated with UGM is similarly prohibited. Request UGM for permission to reproduce or distribute in digital form the online materials found on UGM can be made by contacting UGM in writing at john@unboundgrace.life.

You agree that any communications whatsoever submitted by you will become the property of UGM (subject to your privacy settings) and may be used, copied, sublicensed, adapted, edited, transmitted, distributed, publicly performed, published, displayed, or deleted as UGM sees fit in its sole discretion.

DISCLAIMER OF LIABILITY AND WARRANTIES; RELEASE; AND HOLD HARMLESS

UGM may actively monitor any communications being conducted using UGM, however, UGM assumes no responsibility for actively monitoring any communications between users. If at any time UGM chooses, in its sole discretion, to monitor any communications, UGM nonetheless assumes no responsibility for the content of the communications, no obligation to modify or remove any inappropriate communication, and no responsibility for the conduct of the user submitting any communications. You agree that UGM accepts no liability whatsoever if it determines to prevent any communications from being submitted or if it edits, restricts, or removes your communications.

You agree to release and hold harmless UGM, its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders, from any and all liability and obligations whatsoever in connection with or arising from your use of UGM and any service related to UGM, including without limitation any mentorship communications facilitated by UGM. If at any time you are not happy with UGM or object to any matter related to UGM, your sole remedy is to cease using UGM.

You agree that UGM, and all information and services facilitated by UGM, are provided “as is” and, to the fullest extent permitted by law, are provided without warranties of any kind either express or implied. This means, without limitation, that UGM DOES NOT WARRANT that it is fit for any particular purpose; that UGM will remain uninterrupted; that any defects will be corrected; that UGM is free of viruses and other harmful components; or that UGM is accurate, error free or reliable.

You acknowledge that UGM and its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders are not licensed counselors. You understand the nature of mentorship knowingly waive, release and hold harmless UGM for UGM and its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders for all claims and damages to their person or property arising out of or in any way related to the financial, psychological, spiritual and/or mental problems and/or all matters relating to UGM’s services. Furthermore, you acknowledge and agree that you have received no warranty, guarantee or promise of any particular result, either express or implied. Furthermore, UGM agrees to use reasonable efforts to notify the mentors that any contact or communication between the mentors and users other than through the UGM platform is prohibited by UGM policy, however, you agree to waive and hold harmless UGM and its parents and affiliates together with their respective volunteers, employees, agents, officers, directors, administrators, founders, and shareholders for all claims and damages to your person or property arising out of or in any way related to mentors’ breach of UGM communication policy.

You agree that UGM, its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders, IS NOT LIABLE for any emotional distress, death, mentorship failure, damage to persons or property, delays, inaccuracies, failures, errors, omissions, interruptions, public release of private information, data breaches, deletions, defects, viruses, communication line failures, or for the theft, destruction, damage or unauthorized access to your computer system or network. You acknowledge that UGM is not liable for any defamatory, offensive, or illegal conduct or material found in connection with UGM, including such conduct or material transmitted by any means by any other person.

You agree that UGM is not liable for any damages, including, without limitation, direct, incidental, special, consequential or punitive damages, in connection with or arising from your use or from your inability to use UGM.

INDEMNITY

You agree to defend, indemnify and hold harmless UGM, its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders, from and against all the liabilities, claims, damages and expenses (including reasonable attorney’s fees and compensation to UGM) arising out of your use of this Network, your breach or alleged breach of this Terms and Conditions of Service, including without limitation your breach or alleged breach of the copyright, trademark, proprietary, or other rights of third parties.

USE

You will not use UGM for any communications that

- are unlawful, threatening, obscene, vulgar, pornographic, profane, or indecent, including any communication that constitutes (or encourages conduct that would constitute) a criminal offense, gives rise to civil liability or otherwise violates any local, provincial, state, national, or international law;

- violate the copyright, trademark, or other intellectual property rights of any other person. By submitting communications to UGM, you represent to UGM that you are the rightful owner of such material or that you have first obtained permission to submit the material from the rightful owner;

- improperly assume or claim the identity, characteristics, or qualifications of another person;

- contain personal/contact information;

are for purposes of spamming;

- contain any virus or other harmful component;

- are libelous, or an invasion of privacy or publicity rights or any other third party rights; or

- are for commercial purposes or contain advertising or are intended to solicit a person to buy or sell services or to make donations.

CONFIDENTIALITY & PRIVACY

All users of UGM give UGM and its affiliates, volunteers, employees, mentors, agents, officers, directors and administrators permission to collect and utilize confidential personal information (“User Information”). UGM reserves the right to share User Information (1) to UGM, its parents and affiliates together with their respective volunteers, employees, mentors, agents, officers, directors, administrators, founders, and shareholders as reasonably necessary to facilitate the services being provided by UGM; (2) as required by law or other regulatory agency; (3) in order to protect the rights of UGM (e.g. to respond to a subpoena); (4) in order to protect the health and safety of either the user or 3rd parties; and (5) as authorized by the user (e.g. posting user videos to social media or other websites).
